Terms of Use (AGB)

Terms / AGB for D3 Passport (SaaS). EN primary; DE via language switcher.

1. Scope

These Terms of Use (“Terms”) of Alexander Denner, trading as “D3 Chain” (“we”, “us”), apply to all contracts for access to the SaaS platform D3 Passport that you conclude with us as a consumer or business customer via d3chain.com. We object to the inclusion of your own terms unless we have agreed otherwise in writing.

You are a consumer if you conclude a legal transaction primarily for purposes that cannot be attributed to your commercial or independent professional activity. You are a business customer if you act in the exercise of your commercial or independent professional activity.

2. Subject of the contract

The subject of the contract is the provision of D3 Passport as a cloud software service (SaaS) for creating, managing and publishing Digital Product Passports (DPPs), including related features such as QR / Digital Link, RFC 3161 trusted timestamps, imports and APIs as offered in your plan.

You do not acquire ownership of the software. Source code is not provided. Installation on your own servers is not part of the contract; the Service is used via supported browsers / documented APIs.

Individual application support is only included where expressly stated in the plan description.

3. Conclusion of contract

Plan descriptions on the website are non-binding invitations to treat. A binding contract for a paid plan is formed when you complete checkout (typically via Stripe) and we confirm access or commence provision of the Service.

Account registration creates a user account; paid features become available after successful payment confirmation. Contract language available: German and English.

You must ensure that the email address you provide is correct and that emails from us (including payment and security notices) can be delivered.

4. Right of withdrawal

Consumers generally have a statutory right of withdrawal. Details are set out in our withdrawal notice (Widerrufsbelehrung) at /widerruf.

For digital services, the right of withdrawal may expire early if we begin performance with your express prior consent and acknowledgment that you lose the right of withdrawal upon commencement, as required by law.

5. Prices and payment

Unless stated otherwise, prices shown are net of applicable VAT; statutory VAT is added where due. The payment methods offered (e.g. card via Stripe Payments Europe Ltd., Dublin, Ireland) are displayed at checkout.

Paid subscriptions are billed according to the selected billing interval. You may cancel according to the process in billing settings; access continues until the end of the paid period unless otherwise stated.

6. Provision of the Service

We provide the Service by making it available online for use with your account credentials. Delivery / availability is deemed effected when the Service is reachable for your account and we have notified you or payment confirmation has been issued.

We may change, suspend or discontinue features with reasonable notice where practicable. Beta or preview features are provided as-is.

7. Licence and customer content

We grant you a non-exclusive, non-transferable right to use the Service for the term of your subscription for your internal business purposes, within plan limits. You may not rent, sublicense, reverse engineer (except where mandatory law allows) or remove technical protection measures.

You are responsible for account credentials, authorised users, and for the accuracy and legality of product and passport data you upload (“Customer Content”). You retain ownership of Customer Content and grant us a limited licence to host, process and display it solely to provide and secure the Service (including backups and timestamping).

8. Customer duties

You must inform yourself about the essential features of the Service and ensure a suitable internet connection and browser environment. You should keep appropriate backups of Customer Content you upload.

You must not misuse the Service (including probing, scraping beyond documented APIs, uploading unlawful content, or bypassing security or plan limits). We may suspend accounts that violate these Terms or create material risk.

9. Timestamps, registries and third parties

Trusted timestamps and any EU registry integrations depend on third-party authorities and networks. We do not warrant uninterrupted availability of those third parties.

Public passport pages may be accessed without login. You are responsible for deciding what data to publish. We do not provide legal advice and do not guarantee full regulatory conformity of individual passports.

10. Warranty and liability

Statutory warranty rights apply to consumers. For business customers, warranty for defects is limited as permitted by law for SaaS services of this kind.

Except where mandatory law provides otherwise, the Service is provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages. Our aggregate liability for claims arising from the Service in any twelve-month period is limited to the fees you paid us for the Service in that period (or EUR 100 if you are on a free plan).

Nothing in these Terms limits liability for intent, gross negligence, injury to life/body/health, or other liability that cannot be limited under applicable law.

11. Term and termination

You may stop using the Service at any time and cancel paid subscriptions via billing settings or by contacting us. We may terminate or suspend access for material breach, non-payment or legal risk after notice where required.

Provisions that by nature should survive (including liability limits, IP and confidentiality) survive termination.

12. Governing law and venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protections in your country of residence remain unaffected.

If you are a merchant, a legal entity under public law or a special fund under public law with a seat in Germany, our place of business is the exclusive venue for disputes arising from this contract. The same applies if your seat is outside Germany and the contract can be attributed to your commercial or professional activity. We may also sue at your place of business.

13. Alternative dispute resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. Changes

We may update these Terms. Material changes will be indicated on this page (and by email for material changes affecting paid customers where required). Continued use after the effective date constitutes acceptance where permitted by law.
